Legal Templates

These documents are intended as general guidance and starting points for structuring angel investment deals, particularly with regard to cross-border transactions.

These templates are standardised frameworks that aim to facilitate negotiations and understanding between parties. However, they are generalised in nature and may not fully address the specific needs, legal requirements, or unique circumstances of individual transactions or jurisdictions. It is expressly stipulated that the provision of these templates does not constitute any legal, financial or investment advice.

As such, users of these templates should take into account that:

  • Adaptation may be required: The templates must be adapted to the specific details and context of each transaction, including compliance with local laws and regulations in the countries concerned.
  • Professional advice is recommended: It is strongly recommended that users consult with qualified legal, financial and other professional advisors before finalising any agreements or relying on the templates provided.
  • No warranty or liability is provided: ESIL2 consortium partners META Group, Business Angels Europe and Euroquity-Bpifrance, contributors or affiliates can be held responsible for any errors, omissions, or deficiencies in these templates, nor for any issues or disputes arising from their use. The responsibility for the final structuring, negotiation, and execution of any transaction lies solely with the users.

By downloading and using these templates, you explicitly acknowledge and agree that ESIL and its consortium partners are not liable for any consequences arising from their use.

These materials are provided “as-is,” with no guarantees or warranties of any kind, either express or implied, regarding their completeness, accuracy, or suitability for specific purposes.

The contact details of the recommended legal advisors, with experience in angel financing, can be found on the specific country page.

FAQ

ESIL has reached out to legal offices in all 28 countries to review and provide feedback on the general template documents. However, not all of them have yet completed their reviews for every template.

We are updating the library on a rolling basis, so we encourage you to check back regularly as new country-specific versions are added.

In the meantime, you are welcome to download and use the general templates as a starting point. We strongly recommend having them reviewed or adapted by a local legal office to ensure they fully align with your national legal framework and specific needs.

The templates were developed together with highly experienced law firms active in angel investing, which gives them a strong and reliable foundation. That said, we would generally advise against using them without first reviewing and adapting them to your specific situation.

Every investment deal is different, and legal requirements can vary depending on your country, industry, and the structure of the transaction. While most of the templates have already been reviewed at national level (reflecting the reality that cross-border deals typically involve parties from more than one legal framework) they are not a substitute for tailored legal advice.

Using legal templates without proper checks can carry risks, such as insufficient customisation or references to legislation that may have evolved since the templates were drafted.

For this reason, we strongly recommend consulting a legal professional before using the templates. To make this easier, we provide information on the national law firms that contributed to the templates and provided country-specific feedback. These firms are all active in the field of angel investing and well placed to support you.

The set of templates provided by ESIL is quite comprehensive, but it may not cover every document needed for all types of deals or situations. Depending on the specifics of your transaction, additional documents may be required.

We regularly expand and update the template library, so new materials may become available over time. We encourage you to check the website periodically for the latest additions.

More generally, when using any legal template—whether from ESIL or elsewhere—it is good practice to keep clear records of where the template comes from, when you obtained it, and any changes made by legal professionals. This kind of documentation can be important if questions, disputes, or legal challenges arise later on.

It is also essential to verify that any template you use is suitable for your specific situation. This means checking that it is up to date, legally sound, compatible with your other legal documents, and aligned with the requirements of your jurisdiction. If you have any doubts, we strongly recommend consulting a local legal professional for tailored advice.
